Formation of Maryland Single Member LLC and Operating Agreement (1 Member/Owner) - $1850 Flat Fee
This package includes:
- Initial virtual meeting or phone conference regarding choice of entity, advice about trade name, principal office, resident agent, etc.
- Drafting and Filing of the Articles of Organization with Maryland SDAT
- State Filing Fees ($154.50 for expedited SDAT handling)
- Single-member LLC Operating Agreement

This package includes:

- Operating Agreement can include "testamentary" provisions that direct what happens to the owner's LLC interest should they pass away

Multi-member LLC Operating Agreement (LLC already in existence) - $495 per hour
Because an operating agreement for an LLC with more than one member can be complex, we charge for drafting these complex agreements on an hourly basis. If we have already formed your LLC, we will already have knowledge about the business, the owners, and the management structure. If we did not form the LLC, we will need to gather basic information about the LLC and its members. These agreements must be drafted by a experienced lawyer and should not be left to an online legal service.
We typically spend about 3 to 8 hours to draft a multimember LLC operating agreement, depending on the complexity, the number of members, the choice of management structure, etc. This work includes:
- Checklist completed by client(s)
- Initial draft of Operating Agreement which can include "testamentary" provisions that direct what happens to the owner's LLC interest should they pass away, transfer provisions, management provisions, and profit and cash flow allocations
- Optional meeting with all members to review operating agreement draft and answer questions

- Initial virtual meeting or phone conference regarding choice of entity, advice about trade name, principal office, resident agent, desired number of shares, initial directors, officer positions, etc.
- Drafting and Filing of the Articles of Incorporation with Maryland SDAT
- State Filing Fees ($154.50 for expedited SDAT handling)
- Corporate Bylaws (required by Maryland law)
- Organizational Board Meeting Minutes (required by Maryland law)
- Stock Certificates and/or Stock Ledger completed for client

Stockholders' Agreement for Maryland Corporation - $495 per hour
Any corporation with more than one shareholder should have a stockholders' agreement. These agreements must be drafted by a experienced lawyer and should not be left to an online legal service. These agreements include provisions that address, for example:
- Board of Directors: composition, appointment rights, removal, and voting thresholds
- Shareholder voting rights: matters requiring special or supermajority approval
